The agreement
These terms are between you and Apex Insights ("Apex", "we", "us"). They apply to this website at getapexinsights.com and to the Apex platform at app.getapexinsights.com or at a client's own address (together, "the service"). By using the service you accept them. If you use the platform for a business, you confirm you are allowed to act for that business, and the business is bound by these terms too.
A business that subscribes to the platform signs an agreement with Apex that sets out the plan, the price and the service commitments. That agreement governs the subscription. Where it and these terms differ, the agreement wins.
Accounts
- A platform account is for one named person. Keep your sign-in to yourself and tell us at once if you think someone else has used it.
- A client's owner or administrator decides who on their team gets an account and what each person may do. Apex acts on those decisions.
- You are responsible for what is done under your account, including by an AI assistant you connect to it.
Connected accounts
The platform reads from and writes to systems a client connects, such as Google, Meta, point-of-sale, scheduling and email providers. When you connect one:
- You confirm you are allowed to connect it and to let Apex act in it on the client's behalf.
- The provider's own terms apply to what happens in that system. Apex is not a party to them.
- A change the platform makes in a connected system is made because a person asked for it and approved it. A post, an ad, an email or a page goes out because someone with the right to send it clicked to send it.
- You may remove a connection at any time in Settings, Connections.
Your content
Everything a client puts into the platform or makes with it stays the client's: pages, posts, menus, lists, records, photographs and the rest. Apex has the right to store, display, send and process that content only as needed to run the service for the client. Apex does not use client content to train AI models and does not share it with other clients.
You are responsible for the content you publish or send through the service: that you have the right to use it, that it is accurate, and that it follows the law and the rules of the platform it goes to. Apex may remove content that breaks these terms or the law, and will tell you when it does.
Acceptable use
Do not use the service to:
- send messages to people who have not agreed to receive them, or import purchased lists;
- publish anything unlawful, misleading, infringing or abusive;
- get into accounts, data or systems you are not allowed to use, or probe the service's security without written permission;
- copy, resell or reverse engineer the service, or use it to build a competing product;
- interfere with the service or place an unreasonable load on it.
Apex's content
The service, including its software, design, documentation and the material Apex publishes on this website, belongs to Apex or its licensors. You may use it as part of the service and may quote from this website with attribution. Anything else needs our written permission.
AI features
Parts of the service draft text, read documents and suggest actions using AI models. What they produce is a draft for a person to read and decide on. Check it before it goes out, in particular prices, dates, hours, legal claims and anything about a named person. Apex is not responsible for a draft that was published without being read.
Changes to the service
Apex improves the service continually and may add, change or retire features. A change that removes something a client relies on is announced in the platform in advance, and the client's agreement says what happens to the subscription.
No warranty
Beyond what a client's agreement promises, the service is provided as it is. Apex does not warrant that it is uninterrupted or error-free, that figures drawn from a connected system are complete, or that a platform it connects to will keep its API unchanged. Reports and figures in the platform are drawn from the systems a client connected and are only as complete as those systems.
Limits on liability
To the extent the law allows, Apex is not liable for indirect, incidental or consequential loss, including lost revenue or lost data, arising from the service, and Apex's total liability for any claim is limited to the amount the client paid for the service in the twelve months before the claim. A client's agreement may set different limits, and those govern the subscription.
Ending use
You may stop using the website at any time. A client's subscription ends as its agreement says. Apex may suspend or close an account that breaks these terms, after telling the client, except where the breach puts the service or other clients at risk. When a subscription ends the client may retrieve their content for a limited period, after which it is deleted, as described in the Privacy Policy.
Governing law
These terms are governed by the laws of the Commonwealth of Massachusetts, and any dispute is heard in the state or federal courts in Boston, Massachusetts, unless a client's agreement says otherwise.
Changes to these terms
When these terms change, the date at the top changes with it. A material change is announced in the platform before it takes effect. Using the service after that date means you accept the change.
